These Terms and Conditions (“Terms”) govern your use of Poly Coin’s services, including our websites, mobile and web applications, and any features we make available (the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, please do not use the Services.

1. Definitions

“Poly Coin,” “we,” “us,” and “our” refer to Poly Coin Ltd. and its affiliates. “Services” means our websites, applications, APIs, and related features. “Merchant” means a retail business using Poly Coin to convert shopper change into digital value. “Shopper” or “User” means an individual who uses Poly Coin to receive, hold, or spend value. “USD Credits” (“Credits”) means a stored-value balance, denominated in U.S. dollars, reflected in your Poly account and usable with participating partners or for other redemption options we make available. “Change Transfer” means the amount of coin value converted at checkout. “Linked Phone Number” means the phone number associated with a user’s Poly account for linking purposes. “Partner” means a third party that accepts Credits or provides redemption options (including, where offered, third-party e-gift cards).

2. Eligibility

You must be of legal age in your jurisdiction and legally capable of entering into binding agreements. The Services are available only in supported regions, and features (including available redemption options and partner catalogs) may vary by territory.

3. Accounts and Security

Certain features require an account. You agree to provide accurate information and keep it current. We may require phone verification, email confirmation, or additional checks for fraud, risk, or legal compliance. You are responsible for maintaining the confidentiality of your credentials and all activity under your account. Notify us immediately of any unauthorized use at support@poly-coin.com.

4. How Poly Coin Works

At checkout, you may request to convert spare coins into USD Credits. The cashier associates the Change Transfer with your Linked Phone Number; no app is required at the till. Once processed, your account reflects the issued Credits, which you can view in the app and spend with participating partners or redeem for other available options (which may include third-party e-gift cards where offered). Poly Coin is not a bank or money services business; Credits are a stored-value product and are not deposits, not insured by any deposit insurer, and may be subject to partner or issuer terms.

5. Limits, Fees, and Rates

You may make up to five (5) Change Transfers per merchant per day, per shopper account. Exchange rates and USD availability may vary, and conversion or exchange fees may apply and fluctuate. We may display estimated values during checkout or in-app; final amounts are confirmed upon completion. Poly Coin does not charge fees to spend Credits with partners, though partner, network, or issuer terms may still apply.

6. USD Credits

Credits represent a stored-value balance in your Poly account that can be used only as permitted by the Services. Available partners, redemption methods, and denominations vary by region and may change without notice. Unless otherwise required by law or permitted by the applicable program, Credits are non-transferable, non-interest bearing, and not redeemable for cash. Credits remain valid for five (5) years from the date of issuance; after this period, any unused balance may expire in line with partner or issuer terms and applicable law. Where Credits are redeemed for third-party e-gift cards, those cards are issued by third parties and governed by their terms and conditions.

7. Returns and Reversals

Store returns follow the merchant’s policy. If a sale is voided or refunded, the linked Change Transfer may also be reversed. We may cancel, adjust, or debit Credits to reflect reversals or corrections. Report suspected posting errors within thirty (30) days of the transaction appearing in your account. We may request additional information to investigate and correct. Fraud, abuse, or misuse may result in suspension, reversal, or termination.

8. Merchant Terms (Summary)

Merchants agree to follow Poly guidelines, comply with applicable laws, and refrain from issuing physical coins when processing a Change Transfer via Poly. Merchants may earn USD rewards on Change Transfers tied to the issuance of Credits. Additional commercial terms, onboarding steps, and integration requirements may apply; in case of conflict, those commercial terms prevail over this summary.

9. Acceptable Use

You agree not to use the Services for unlawful, fraudulent, deceptive, or abusive purposes; not to bypass, disrupt, or test vulnerabilities of the Services; not to misrepresent your identity or affiliation; not to harvest data or use automated means to access the Services; and not to resell, exchange, or transfer Credits or redemption options in ways that violate these Terms or partner/issuer rules.

10. Intellectual Property

The Services and related content, trademarks, and branding are owned by Poly Coin or its licensors and are protected by law. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose.

11. Third-Party Services

The Services integrate with third-party partners, gift card issuers (where applicable), payment processors, and other providers. We are not responsible for third-party terms, policies, content, or performance. Your use of third-party services is at your own risk and is governed by those providers’ agreements.

12. Electronic Communications and SMS

You consent to receive electronic communications (including email, in-app messages, and SMS) regarding your account and transactions. Message and data rates may apply. You may opt out of non-essential marketing messages; transactional messages may still be required to operate the Services.

13. Privacy

Our collection and use of personal data are described in our Privacy Policy. By using the Services, you agree that we may use your data to operate, improve, and protect the Services, and to comply with legal obligations.

14. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, OR THE AVAILABILITY OF ANY SPECIFIC PARTNER, REDEMPTION METHOD, DENOMINATION, OR LOCATION.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POLY COIN AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) USD $100 OR (B) THE TOTAL FEES PAID BY YOU TO POLY COIN (IF ANY) IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

16. Indemnification

You agree to defend, indemnify, and hold harmless Poly Coin and its affiliates from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of Trinidad and Tobago, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the courts located in Port of Spain, Trinidad and Tobago, for any disputes arising out of or related to the Services.

18. Changes to the Services and Terms

We may modify the Services (including partner catalogs, redemption methods, limits, or fees) at any time. We may update these Terms from time to time. Material changes will be reflected by updating the Effective date above. Your continued use after changes means you accept the updated Terms.

19. Miscellaneous

We may suspend or terminate access for any breach, suspected fraud, or legal requirement. You may not assign these Terms without our consent; we may assign to an affiliate or in connection with a merger, acquisition, or sale. If any provision is held unenforceable, the remainder remains in effect. These Terms (with referenced policies) constitute the entire agreement between you and Poly Coin. We are not liable for delays or failures caused by events beyond our reasonable control (force majeure). Headings are for convenience only and do not affect interpretation.
